## Legal Services Act 2007 <a href="#legal-services-act-2007" id="legal-services-act-2007"></a>

‌Under the Legal Services Act certain legal services are reserved to those who are authorised to provide them.‌

For barristers, only those who have practising certificates are authorised persons. Such services are known as ‘reserved legal activities’ which are as follows:‌

* *the exercise of a right of audience;*
* *the conduct of litigation;*
* *reserved instrument activities;*
* *probate activities;*
* *notarial activities;* and
* *the administration of oaths*.

‌Under the Legal Services Act 2007, legal services, other than those which are reserved legal activities, are not subject to any special statutory regulation. This statement is to explain our status in providing our clients with legal services.‌

Although the following consultants are qualified as barristers, they are not entitled to practise as barristers. They do not have practising certificates and are not on the register of practising barristers:

‌In providing any legal services to our clients, they are not acting as a barrister and are not subject to many of the rules which regulate practising barristers.‌

This limits the scope of the service that can be provided to our clients. We can provide them with legal advice and represent them before certain tribunals, but we cannot represent them in Court. Where our clients' requirements give rise to a need to perform reserved legal activities, we instruct suitably-qualified solicitors and barristers to do so, supervising their conduct and acting as client representative in order to protect those clients' interests.‌

The Legal Ombudsman, which can adjudicate on complaints about poor service by practising barristers, cannot consider any complaint against us.‌

It is, however, possible to complain to the Bar Standards Board and it will investigate whether we have failed to comply with any of the rules which apply to us, but it cannot investigate possible breaches of rules which apply only to practising barristers.

# Climate Change Policy

### Climate Emergency

The Intergovernmental Panel on Climate Change (IPCC) predicts the average global temperature in 2100 is likely to be between 3°C to 5.5°C above late 19th century levels if no action is taken to reduce global greenhouse gas (GHG) emissions. The global risks from climate change include:

* Extreme weather events.
* Severe impacts on the world's poorest and most vulnerable populations.
* Environmental and economic damage.
* Large-scale singular events (such as further sea level rise as major ice sheets melt).

Disruption and irreversible loss of natural habitats and resources is expected even with a 2°C temperature rise. However, rapid global action to cut GHG emissions may reduce the likelihood of global temperatures increasing by 2°C.Under the 2015 Paris Agreement, the international community set goals to:

* Ensure the rise in global mean temperatures is kept well below 2℃ above pre-industrial levels.
* Aim to limit global warming to 1.5℃.

### Carbon Neutrality

We are presently assessing our annual carbon consumption with a view to creating a carbon action plan with targets to achieve carbon neutrality in our business operations.  At present, we intend to reach carbon neutrality by the end of FY 2024.

## Discrimination

No-one at DOS & Co. may unlawfully discriminate against or harass other people, including current and former staff, job applicants, clients, customers, suppliers and visitors.&#x20;

This applies in the workplace, outside the workplace (when dealing with customers, suppliers or other work-related contacts), and on work-related trips or events including social events.&#x20;

The following forms of discrimination are prohibited under this policy and are unlawful:&#x20;

(a) **Direct discrimination**: treating someone less favourably because of a Protected Characteristic. For example, rejecting a job applicant because of their religious views or because they might be gay.&#x20;

(b) **Indirect discrimination**: a provision, criterion or practice that applies to everyone but adversely affects people with a particular Protected Characteristic more than others, and is not justified. ## Recruitment & Selection

Recruitment, promotion, and other selection exercises such as redundancy selection will be conducted on the basis of merit, against objective criteria that avoid discrimination.&#x20;

When recruiting or promoting, we will aim to take steps to improve the diversity of our workforce and provide equality of opportunity. Shortlisting and interviewing should be done by more than one person where possible.&#x20;

Our recruitment procedures will be reviewed regularly to ensure that individuals are objectively assessed on the basis of their relevant merits and abilities.&#x20;

## Part-Time and Fixed-Term Work

## Breaches of this Policy

We take a strict approach to breaches of this policy, which will be dealt with in accordance with our Disciplinary Procedure.&#x20;

Serious cases of deliberate discrimination and victimisation may amount to gross misconduct resulting in dismissal.&#x20;

Complaints will be treated in confidence and investigated as appropriate.&#x20;

There must be no victimisation or retaliation against staff who complain about or report discrimination.&#x20;

We do not disclose information about identifiable individuals to our advertisers, but provide them with aggregate information about our users (for example, we may inform them that 50 women over 45 have clicked on their advertisement in any given day). We may also use such aggregate information to help advertisers reach the kind of audience they want to target (for example, women in SW1). **DOS & Co. Ltd.** is making a voluntary modern slavery and human trafficking statement relating to section 54 of the Modern Slavery Act 2015.&#x20;

# Suppliers' Code of Conduct

This Code of Conduct applies to suppliers of all DOS & Co. group companies.

### Agreed Terms

#### About this Code

Corporate integrity, responsible sourcing and the safety and wellbeing of workers in the countries where we do business are of paramount importance to DOS & Co. These core principles are reflected in this Supplier Code of Conduct (the '**Code**'), which establishes the minimum standards that must be met by any entity that supplies products or services to DOS & Co.

#### Definitions and Scope

In this Code:

* **Supplier** means a company, partnership or individual that provides goods or services to one or more members of the DOS & Co. group of companies.
* **worker** means any individual whom the Supplier employs, hires or engages, or otherwise uses to conduct its business.
* **Representative** means the Supplier's suppliers, sellers, agents, and sub-contractors who are involved in DOS & Co.'s supply chain.

#### Who must comply with this Code?

The Supplier shall comply with the Code and shall ensure that its workers are aware of this Code and comply with it.

#### Supplier's Commitment

> The Supplier agrees that:&#x20;
>
> * It will comply with the requirements in this Code.&#x20;
> * It has appropriate systems in place to ensure continuous compliance and to demonstrate such compliance.&#x20;
> * Any breach of this Code will allow DOS & Co. terminate its relationship with the Supplier with immediate effect.

### The Code

#### 1. Compliance with laws and regulations and priority of standards

1.1  In carrying out its agreement(s) with DOS & Co., the Supplier shall, in addition to complying with the standards set out in this Code, comply with all applicable UK laws and regulations (and if applicable, the laws and regulations of any other jurisdiction where it or its Representatives operate) including but not limited to the laws and regulations relating to issues addressed in this Code.

1.2  Competing standards shall be addressed as follows:

(a)        If there is a conflict between any applicable laws or regulations, the provisions of an agreement with DOS & Co. and the provisions of this Code, the Supplier shall meet the most stringent standard.

(b)        If there is a conflict between the provisions of an agreement with DOS & Co. and the provisions of this Code, the Supplier shall meet the the standard as set out in the agreement.

#### 2.  Updating this Code

DOS & Co. has the right to modify this Code from time to time on giving the Supplier at least 14 days' notice in writing (writing includes email).

#### 3.  Workforce issues

*3.1  Slavery, human trafficking and child labour*

The Supplier shall comply with all applicable anti-slavery and human trafficking laws, statutes, regulations and codes from time to time in force including but not limited to the Modern Slavery Act 2015 in any part of its supply chain. This includes, but is not limited to, not supporting or engaging or requiring any forced labour, the use of child labour, bonded labour, indentured labour and prison labour.

*3.2  Human rights*

The Supplier shall comply with all internationally recognised human rights understood, at a minimum, as those expressed in the International Bill of Human Rights and the principles concerning fundamental rights set out in the International Labour Organisation's Declaration on Fundamental Principles and Rights at Work from time to time in force.

*3.3  Equal opportunities*

DOS & Co. is an equal opportunities employer and Suppliers shall not discriminate in hiring, compensation, training, advancement or promotion, termination, retirement or any employment practice based on race, caste, colour, national origin, gender, gender identity, sexual orientation, religion, age, marital or pregnancy status, disability, union membership or political affiliation or any other characteristic other than the worker's ability to perform the job subject to any accommodations required or permitted by law.

*3.4  Freedom of association and collective bargaining*

The Supplier shall respect, and shall not interfere with, the right of workers to decide whether to lawfully associate with groups of their choice, including the right to form or join trade unions and to engage in collective bargaining.

*3.5  Working environment*

The Supplier shall provide a safe, healthy, and sanitary working environment and comply with UK health and safety laws and any other relevant laws where it operates. This includes, but is not limited to, implementing general and relevant industry-specific procedures and safeguards to prevent workplace hazards and work-related accidents and injuries. Where such hazards cannot be adequately prevented or controlled, the Supplier shall provide workers with appropriate personal protective equipment to protect against hazards typically encou**n**tered in that scope of work.

*3.6  Wages and remuneration.*&#x20;

The Supplier must compensate all workers with wages, including overtime premiums, and benefits that at a minimum meet the higher of:

(a)        the minimum wage and benefits established by applicable law;

(b)        collective agreements;

(c)        industry standards; and

(d)        an amount sufficient to cover basic living requirements.

#### 4.  Data protection and information security

4.1  The Supplier shall comply with all data protection laws and requirements (including the UK GDPR) when processing any personal data on DOS & Co.'s behalf.

4.2  The Supplier shall have in place appropriate measures to:

(a)        protect the integrity and confidentiality of information (including information belonging to or supplied by DOS & Co.) held on its systems (which include physical and online or electronic systems); and

(b)        ensure that there is no unauthorised access of the information by third parties, including its Representatives.

#### 5.  Environmental responsibility

5.1  The Supplier shall ensure that:

(a)        its operations comply with all applicable environmental laws, including laws and international treaties relating to (but not limited to) waste disposal, emissions, discharges and the handling of hazardous and toxic materials;

(b)        the goods it manufactures (including the inputs and components that it incorporates into its goods) comply with all applicable environmental laws and treaties; and

(c)        it will only use packaging materials that comply with all applicable environmental laws and treaties.

5.2  The Supplier shall have in place a suitable environmental management system for managing its environmental risks. As a minimum, the system should include and address the following:

(a)        an assessment of the environmental impact of all historical, current and likely future operations;

(b)        steps to continuously improve environmental performance, reduce pollution, emissions and waste;

(c)        measures to reduce the use of all raw materials, energy and supplies; and

(d)        raising awareness and training workers in environmental matters.

#### 6.  Bribery and corruption

6.1  The Supplier shall comply with all applicable laws, statutes, codes and regulations relating to the prevention of bribery and corruption (including but not limited to the Bribery Act 2010). To that end, the Supplier shall not accept, offer, promise, pay, permit or authorise:

(a)        bribes, facilitation payments, secret or undisclosed commissions, kickbacks or illegal political contributions;

(b)        money, goods, services, entertainment, employment, contracts or other things of value, in order to obtain or retain improper advantage; or

(c)        any other unlawful or improper payments or benefits.

#### 7.  Unfair business practices

The Supplier shall comply with all applicable competition laws (including but not limited to the Competition Act 1998), including but not limited to those relating to teaming and information sharing with competitors, price fixing and rigging bids.

#### 8.  Procuring and managing Representatives

8.1  When assessing the Supplier's performance against the requirements set out in this paragraph, DOS & Co. shall have due regard to the risk profile of the transaction, the Supplier's ability to comply with the requirements and the consequences where the Supplier fails to meet those requirements.

8.2  With regard to prospective Representatives, the Supplier shall carry out appropriate due diligence on prospective Representatives that will form part of DOS & Co.'s upstream supply chain. At a minimum, the due diligence must include the following:

(a)        investigations into prospective Representatives' stance, public statements and actions on human rights, treatment of workers, bribery, ethical behaviour and environmental outlook;

(b)        risk assessments for countries from which materials, components or finished goods are sourced; and

(c)        the prospective Representative's ability to meet the requirements and principles that are covered in this Code.

8.3  In its dealings with Representatives, the Supplier shall:

(a)        ensure that agreements with Representatives include provisions that require the Representatives to comply with applicable provisions of this Code, having due regard to the risk profile of the transaction, the Representative's ability to comply with those provisions and the consequences where the Representative fails to meet those requirements;

(b)        ensure that it has measures to monitor that those Representatives are complying with those compliance-related provisions and that it has systems in place to address any deficiencies or breaches of those requirements; and

(c)        pay its Representatives promptly, with the maximum payment period being 28 days.

#### 9.  Training

9.1  The Supplier shall implement a system of training for its workers to ensure that they are aware of the requirements of this Code.

9.2  The Supplier shall keep a record of all training offered and completed by its workers and shall make a copy of such record available to DOS & Co. on request.

#### 10.  Certifying compliance and audit

10.1  The Supplier shall provide written confirmation to DOS & Co. at least once per year that:

(a)        it has appropriate systems in place to monitor its compliance with this Code; and

(b)        it is able to comply with this Code for the duration of its relationship with DOS & Co..

10.2  In addition to the written confirmation at paragraph 10.1, DOS & Co. may conduct audits to verify the Supplier's compliance with this Code. DOS & Co. has no obligation to conduct such audits.

#### 11.  Self-monitoring and reporting breaches

11.1  The Supplier shall monitor its compliance with the Code and shall report any breaches (actual or suspected) of this Code as soon as possible to DOS & Co.

11.2  The Supplier shall not retaliate or take disciplinary action against any worker that has, in good faith, reported breaches of this Code or questionable behaviour, or who has sought advice regarding this Code.

#### 12.  Breach, remediation and termination

12.1  Where DOS & Co. becomes aware of a breach of this Code by the Supplier or its workers, DOS & Co. may either:

(a)        immediately terminate its business relationship with the Supplier (including any contracts); or

(b)        require the Supplier to produce a remediation plan specifying the actions that the Supplier will take that will lead to compliance with the Code, and present it to DOS & Co. within 14 days of being requested to do so. If the Supplier fails to produce the remediation plan within this timeframe or fails to implement it within a reasonable time, DOS & Co. may immediately terminate its business relationship with the Supplier (including any contracts).

12.2  Where DOS & Co. becomes aware that a Representative has been involved in an incident (or incidents) that would constitute a breach of any of the requirements under this Code, were they bound directly by it, DOS & Co. may either:

(a)        terminate its business relationship with the Supplier (including any contracts); or

(b)        require the Supplier to remedy that incident (or incidents) with that Representative. If the Supplier is not able to remedy such incident with that Representative within a reasonable time, DOS & Co. may immediately terminate its business relationship with the Supplier (including any contracts).


# Sustainable Travel Policy

Our Climate Change Policy and our commitments to sustainable business require us to reduce our travel wherever possible.  When work travel is still required, this sustainable travel policy applies.

The objective of this policy is to promote sustainable travel choices among our colleagues; to reduce our carbon footprint and to contribute to local community sustainability.

### Scope

This policy applies to all employees or anyone booking travel on behalf of any employees or for DOS & Co. business.

### General Principles

* Is your travel necessary?  Encourage virtual meetings and remote collaborations wherever possible to minimise the need for travel.
* How are you getting there?  Favour public transportation, taxi-sharing, cycling and walking for local travel.
* Low-Emission vehicles - if you are taking a taxi or using a car service, always choose the electric or low-emission option.

### Air Travel

While our goal is to reduce our travel footprint wherever possible, the global spread of our clients means that air travel will still sometimes be necessary.  Our specific policy on air travel is:

* Favour auto-offset airlines: easyJet already offsets all of its carbon emissions and is our default airline of choice for short-haul flights.  If easyJet is available on your route within your travel time window, you must prioritise using it.
* Offset wherever possible: if you are offered the opportunity to offset your emissions as part of the booking process, take the option.  If you are not, please refer your booking information to the accounts department so that it can be offset separately.

### Accommodation

Where possible, favour environmentally-conscious accommodation options that have established environmental practices.  Consider the following:

* If the accommodation offers the option for you to recycle towels, please do so as much as you feel comfortable to do; and
* Similarly, unless your sheets actually need to be cleaned, please consider leaving the card on the bed that says not to strip and clean them - they will still make your bed beautifully.

### 14. Our responsibility for loss or damage suffered by you

14.1. Whether you are a consumer or a business user:

1. We do not exclude limit or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.
2. Different limitations and exclusions of liability will apply to liability arising as a result of the supply of any products to you, which will be set out in our Terms and Conditions of supply.

14.2. If you are a business user:

1. We exclude all implied conditions, warranties, representations or other terms that may apply to our sites or the content on them.
2. We will not be liable to you for any loss or damage, whether in contract or tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
   1. Use of, or inability to use, our sites; or
   2. Use of, or reliance on, any content displayed on our sites.
3. In particular, we will not be liable for:
   1. Loss of profits, sales, business or revenue;
   2. Business interruption;
   3. Loss of anticipated savings;
   4. Loss of business opportunity, goodwill or reputation; or
   5. Any indirect or consequential loss or damage.

14.3. If you are a consumer user:

1. Please note that we only provide our sites for domestic and private use. You agree not to use our site for any commercial or business purpose, and we have no liability to you for any loss of profit, loss of business, business interruption or loss of business opportunity.
2. If defective digital content, that we have supplied, damages a device or digital content belonging to you and this is caused by our failure to use reasonable care and skill, we will either repair the damage or pay you compensation.

### 15. Uploading content to our sites

15.1. Whenever you make use of a feature that allows you to upload content to our sites, or to make contact with other users of our sites, you must comply with the content standards set out in our Acceptable Use Policy (below).

15.2. You warrant that any such contribution does comply with those standards, and you will be liable to us and indemnify us for any breach of that warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.

15.3. Any content you upload to our sites will be considered non-confidential and non-proprietary. You retain all of your ownership rights in your content, but you are required to grant us (and other users of our site) a limited licence to use, store and copy that content and to distribute it and make it available to third parties. The rights you license to us are described below.

15.4. We also have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to our site constitutes a violation of their intellectual property rights, or of their right to privacy.

15.5. We have the right to remove any posting you make on our sites if, in our opinion, your post does not comply with the content standards set out in our Acceptable Use Policy (below).

15.6. You are solely responsible for securing and backing up your content.

### 16. Rights you are giving us to material you upload

16.1. A perpetual, worldwide, non-exclusive, royalty-free, transferable licence to use, reproduce, distribute, prepare derivative works of, display and perform that user-generated content in connection with the service provided by the website and across different media.

16.2. A licence to use the content, in an anonymised format which makes your personal identification impossible, to promote our website or services.

16.3. A licence allowing other users, partners or advertisers to use the content for their purposes, in accordance with the functionality of our site and our Acceptable Use Policy (below).

### 17. We are not responsible for any viruses and you must not introduce them

17.1. We do not guarantee that our sites will be secure or free from any bugs or viruses.

17.2. You are responsible for configuring your information technology, computer programmes and platforms to access our sites. You should use your own virus protection software.

17.3. You must not misuse our sites by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, the server on which our site is stored, or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of-service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will cooperate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our sites will cease immediately.

### 18. Rules about linking to our sites

18.1. You may link to our sites, or their pages, provided you do so in a way which is fair and legal and does not damage our reputation or take advantage of it.

18.2. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

18.3. You must not establish a link to our site in any website that is not owned by you.

18.4. Our sites must not be framed (or shown in an i-Frame) on any other site.

18.5. We reserve the right to withdraw linking permission without notice.

18.6. The website which you are linking must comply in all respects with the content standards set out in our Acceptable Use Policy (below).

### 19. Which country's laws apply to any dispute?

19.1. If you are a consumer, please note that these terms of use, their subject matter and their formation are governed by English law. You and we both agree that the courts of England and Wales will have exclusive jurisdiction, except that if you are a resident of Northern Ireland, you may also bring proceedings in Northern Ireland and if you are a resident of Scotland, you may also bring proceedings in Scotland.

19.2. If you are a business, these terms of use, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.


# Working From Home

This policy exists to promote environmental responsibility and reduce the environmental impact of our operations while employees are working from home.

### Scope

This policy applies to all employees working from home for DOS & Co.

### General Principles

* Energy Efficiency: We encourage the use of energy-efficient appliances, equipment and lighting.
* Resource Conservation: We promote the prudent use of resources including paper, water and electricity.
* Waste Management: We encourage recycling and the responsible disposal of waste.

### Practical Considerations

* Only heat those rooms in your home that you *need* to heat if you are working from home during the winter, and only cool those rooms that you *need* to cool if you are working from home in the summer.
* Use natural light and ventilation to reduce the need for artificial heating and cooling.
* Dress appropriately for the weather to reduce your reliance on artificial heating and cooling (NB - if you are speaking with a client over video, at least your top half should be in smart business dress).
* Turn off all lights, appliances and electronic devices when they are not in use.
* Opt for digital documents and communication to reduce paper usage.
* If printing is necessary, use double-sided printing and recycle your used paper.  If you need additional recycled paper for printing, please take some from the office.
* Separate your recyclables from your general waste and use local recycling facilities.  If you don't have local recycling facilities and it is convenient to do so, you may bring your recyclables to the office for recycling.
* Do not bin confidential client documentation in your regular household bin - bring it to the office to be confidentially shredded.  If you envisage a large volume of confidential information requiring shredding, we can arrange for a collection from your home.
